Job Description
The Company Secretary provides expert governance, compliance, and executive coordination support to the Board and senior management, ensuring the organization operates within all statutory and regulatory frameworks while upholding the highest standards of corporate governance. The role supports the CEO and Board in enabling timely decision-making, operational efficiency, and transparent stakeholder engagement, thereby strengthening overall organizational integrity and effectiveness.
Key Responsibilities
- Provide company secretarial services to the business and ensure proper governance across all entities
- Oversee relevant audits required for compliance
- Ensure compliance with statutory obligations, reporting requirements and disclosures for listed companies
- Prepare Board resolutions and minutes for Board meetings and Annual General Meetings (AGMs)
- Advise the finance team on the reporting requirements and disclosures required under the Companies Act and other relevant laws
- Organize the company and subsidiary’s Board meetings as well as Board Committee Meetings and AGMs
- Ensure timely filing of Annual Returns, and resolutions related to appointment or resignation of Directors and Secretaries
- Monitor and ensure the company and its subsidiaries is in good standing with Business Registration Services and ensure all the requisite corporate documents are up to date
- Update Company Registers and manage the use of the Company Seal
- Manage the CEO’s calendar, meetings, travel, correspondence, and priorities
- Prepare briefing notes, reports, presentations, and executive communications
- Screen and prioritize incoming communications to the CEO
- Track execution of CEO directives and follow up with relevant departments
- Monitor key business priorities and escalate risks, delays, or unresolved issues
- Support the CEO in engagement with shareholders, investors, financial institutions, regulators, and other external stakeholders
- Coordinate preparation of shareholder communications, annual reports, investor materials, and corporate presentations
- Facilitate effective communication between the Board, management, and external stakeholders to ensure alignment and transparency
- Strengthen corporate governance frameworks and ensure regulatory integrity
- Enhance executive efficiency and decision execution
- Promote accountability, transparency, and effective stakeholder relationships across the organization
- Perform any other tasks assigned from time to time by management
Qualifications
- Graduate of Law (LLB)
- Minimum of 3 years’ company secretarial experience
- Must be a member in good standing with the Institute of Certified Public Secretaries of Kenya (ICPSK)
- Valid practising certificate
